Dear AAUW-NYS Branch Leaders,
We are pleased to share the official procedures for delegate selection and voting eligibility for the upcoming AAUW-NYS Annual Meeting on June 14, 2025. Below is a summary of relevant Bylaws for your reference and planning. In February, we sent an email to the membership containing the proposed amendments to the Bylaws. The proposed revised Bylaws have also been posted on the AAUWNYS website.
🔹 Who Makes Up the Voting Body?
According to Article XIX, Section 2, the voting body includes:
✅ Elected AAUW-NYS Officers and Appointed Directors
✅ Committee Chairs and Task Force Members
✅ Past Presidents of AAUW-NYS
✅ Branch Delegates (see allocation below)
✅ One Delegate per College/University Partner (must be an AAUW-NYS member)
Note for Dual Members: Delegates must represent the branch where AAUW and AAUW-NYS dues are paid.
🔸 Branch Delegate Allocation
Each branch is entitled to 2 delegates, plus 1 additional delegate for every 50 paid members (or fraction thereof) beyond the first 50.

🧾 Bylaws Amendment Voting
Per Article XX:
• On December 11, 2024, the AAUW-NYS Board approved proposed Bylaws revisions.
• These revisions will be voted on at the Annual Meeting.
• Amendments require a ⅔ vote of eligible branch delegates present and voting.
✅ Quorum Requirement
A quorum is established when delegates from at least ¼ of branches are present. For this meeting, that means at least 6 branches must be represented.
